Terms & Conditions
1. Introduction
These Terms and Conditions ("T&Cs") apply to the sale and supply of bespoke furniture and Joinery products ("Products") by Form Function Ltd ("we", "us", "our") to the customer ("you", "your"). By purchasing any Products from us, you agree to be bound by these T&Cs.
2. Our Contract with You

Acceptance: Your order for Products constitutes an offer, which we may accept or reject at our discretion.

Contract Formation: A contract is formed when we confirm acceptance of your order in writing (email or otherwise).

Customisation: As our products are bespoke, we will work closely with you to define your specifications. We will not begin manufacturing until we receive your approval of the final design and agreed terms.
3. Product Descriptions and Specifications

Bespoke Nature: Our Products are made to order based on the custom specifications provided by you. As such, minor variations in materials, colour, or finish may occur, which are considered acceptable unless explicitly stated otherwise in writing.

Materials: We source high-quality materials, but variations in wood grain, fabric texture, or colour may occur due to the natural properties of these materials.
4. Pricing and Payment

Pricing: All prices for Products are quoted in GBP (£) and are exclusive of VAT unless stated otherwise.

Deposits: A deposit is required at the time of order placement. The balance is due upon completion of the Product.

Payment Methods: We accept payment via bank transfer, cash

Final Payment: The final balance is due after delivery or installation of the Product.
5. Order Confirmation and Lead Times

Order Confirmation: Once your order is placed and the design is finalised, we will provide an order confirmation, including the estimated lead time.

Lead Time: Bespoke furniture typically requires a varying amount of weeks/months to manufacture. We will provide an estimated delivery date but are not responsible for any delays due to factors beyond our control (e.g., supply chain issues, force majeure events).

Changes to Orders: Any changes to your order after confirmation may impact the lead time and/or pricing. We will notify you of any additional charges or delays.
6. Delivery and Collection

Delivery Costs: Delivery charges are calculated based on the size and location of your order. These charges will be provided at the time of order confirmation.

Delivery Times: We will aim to deliver your Product on the agreed date. However, we cannot guarantee delivery on a specific date.

Inspection Upon Delivery: Upon receipt, please inspect the Products for any damage or defects. Any discrepancies should be reported to us within 7 days of delivery. Failure to do so may result in a limited ability to claim for damages.
7. Cancellation and Returns

Cancellations: As our products are bespoke, cancellations are only permitted within 7 days of placing the order, and a cancellation fee of 20% may apply. After this period, cancellations will not be accepted.

Returns: Due to the custom nature of our Products, returns are not accepted unless the Product is damaged, defective, or does not meet the specifications agreed upon.

Damages: If you receive a damaged or defective Product, please notify us within 7 days of delivery. We may offer a repair, replacement, or refund based on the situation.
8. Warranties and Guarantees

Warranty: We offer a warranty of 6 months on the workmanship and materials of our Products, excluding issues arising from normal wear and tear, misuse, or alterations by third parties.

Exclusions: The warranty does not cover damage resulting from negligence, incorrect cleaning methods, or failure to follow care instructions.
9. Intellectual Property

Design Ownership: All designs, plans, drawings, and specifications for bespoke Products remain the intellectual property of Form Function Ltd unless otherwise agreed in writing.

Customer's Designs: If you provide your own designs, you warrant that you have the right to use those designs and indemnify us against any claims of infringement.
10. Limitation of Liability

Our Liability: Our liability is limited to the amount you paid for the Product in question. We are not liable for any indirect, special, or consequential losses, including but not limited to loss of profits or business interruption.

Force Majeure: We are not liable for any delays or failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, strikes, pandemics, or supply chain disruptions.
11. Privacy and Data Protection

Data Protection: We respect your privacy and are committed to protecting your personal data in accordance with applicable data protection laws, including the UK GDPR. For more details, please refer to our Privacy Policy.
12. Governing Law and Dispute Resolution

Jurisdiction: These T&Cs are governed by and construed in accordance with the laws of England and Wales.

Dispute Resolution: Any disputes will be resolved through negotiation, and if necessary, via alternative dispute resolution (ADR) methods such as mediation or arbitration.
13. Changes to These Terms and Conditions
We reserve the right to update or amend these T&Cs at any time. The latest version will be available on our website, and by continuing to use our services or make purchases, you agree to the updated T&Cs.
